Agreement to Terms
Welcome to Exodus Telecom. These Terms of Service ("Terms", "Agreement") govern your use of our VoIP telecommunications services and Text-to-Speech services ("Services") operated by Exodus Telecom ("we", "us", or "our").
By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our Services.

- Voice over Internet Protocol - phone service delivered over the internet.
- TTS
- Text-to-Speech - conversion of written text into spoken audio.
- Customer/You
- Any individual or entity that registers for or uses our Services.
- Account
- Your registered user account with Exodus Telecom.
- DID
- Direct Inward Dialing number - a telephone number assigned to your account.
- E911
- Enhanced 9-1-1 emergency service that automatically provides location information to emergency responders.
2. Eligibility and Account Registration
Eligibility Requirements
- You must be at least 18 years of age to use our Services
- You must provide accurate, current, and complete information during registration
- You must have the legal capacity to enter into a binding contract
- You must not be prohibited from using our Services under Canadian law
- Business accounts must be operated by authorized representatives
Account Security
- You are responsible for maintaining the confidentiality of your account credentials
- You must notify us immediately of any unauthorized access to your account
- You are responsible for all activities that occur under your account
- We recommend enabling two-factor authentication for enhanced security
- You may not share your account credentials with others
Account Information
- You must keep your account information accurate and up-to-date
- You must update your E911 service address whenever you move your VoIP equipment
- Failure to maintain accurate information may result in service disruption
- We may verify your information at any time for fraud prevention and compliance
3. VoIP Telecommunications Services
Service Description
Our VoIP services include:
- Local and long-distance calling
- Direct Inward Dialing (DID) numbers
- Toll-free numbers (TFN)
- Call routing and forwarding
- Voicemail services
- Call recording (where permitted)
- IVR (Interactive Voice Response) systems
- Extension management
- E911 emergency services
Service Requirements
Internet Connection:
- VoIP services require a stable broadband internet connection
- Minimum recommended speed: 100 kbps upload/download per concurrent call
- Service quality depends on your internet connection quality
- You are responsible for maintaining adequate internet service
Power Requirements:
- VoIP services require electrical power to function
- Service will not work during power outages unless you have backup power
- We recommend backup power solutions for critical communications
Phone Numbers
Number Assignment:
- Phone numbers are licensed to you, not sold
- We reserve the right to reclaim unused numbers after 60 days of inactivity
- Numbers may be subject to regulatory requirements and area code availability
- Toll-free numbers are subject to additional regulatory requirements
Number Porting (LNP):
- You may port existing numbers to our service (subject to eligibility)
- Porting typically takes 7-14 business days
- You must maintain active service with your current provider until porting completes
- Port requests may be rejected if information is inaccurate or incomplete
- You are responsible for any early termination fees from your previous provider
Service Limitations
- VoIP service is not a replacement for traditional landline service
- Service may be affected by internet outages, power failures, or network congestion
- Call quality may vary based on internet connection and network conditions
- Some calling features available on traditional phones may not be supported
- International calling rates and availability vary by destination
- We do not guarantee uninterrupted or error-free service
4. Text-to-Speech Services
Service Description
Our TTS services allow you to convert written text into spoken audio files using AI-powered voices.
- Multiple voice options and languages
- Customizable speech parameters (speed, pitch, emphasis)
- High-quality audio file generation
- Integration with VoIP services for IVR and voicemail
- Usage tracking and generation history
Content Requirements
You are solely responsible for the content you submit for TTS conversion. You agree that:
- You own or have the right to use all text submitted
- Your content does not violate any laws or third-party rights
- Your content does not contain prohibited material (see Acceptable Use Policy)
- You will not use TTS to create misleading or deceptive content
- You will not use TTS to impersonate others without authorization
Generated Audio Files
- Generated audio files are stored temporarily (90 days by default)
- You are responsible for downloading and backing up any files you wish to keep
- We reserve the right to delete files after the retention period
- File storage limits may apply based on your subscription plan
- You retain ownership of the generated audio files
TTS Usage Restrictions
- Usage limits apply based on your subscription plan
- Excessive usage may result in rate limiting or additional charges
- Commercial use of generated audio may be subject to additional terms
- You may not use TTS to create content that violates copyright or trademark laws
- We reserve the right to refuse TTS generation requests that violate these Terms
5. Emergency Services (E911)
CRITICAL INFORMATION - READ CAREFULLY
VoIP 9-1-1 emergency service has important differences and limitations compared to traditional telephone 9-1-1 service. Your safety depends on understanding these limitations.
E911 Service Provision
- We provide Enhanced 9-1-1 (E911) service as required by CRTC regulations
- E911 attempts to automatically provide your location to emergency services
- Your registered service address is used to route 9-1-1 calls
- You must provide and maintain an accurate service address at all times
- Failure to maintain accurate address information may prevent emergency services from locating you
E911 Limitations
You acknowledge and accept the following E911 limitations:
- Power and Internet Required: E911 will not work during power or internet outages
- Address Accuracy: Emergency responders will be sent to your registered address, not your actual location if different
- Portable Service: If you move your VoIP equipment, you must update your address before using the service
- Manual Location Reporting: You may need to verbally provide your location to emergency operators
- Call Routing: 9-1-1 calls may be routed through third-party call centers, potentially causing delays
- Network Dependency: Service quality affects your ability to communicate with emergency services
Your E911 Responsibilities
By using our VoIP services, you agree to:
- Provide and maintain an accurate service address for E911
- Update your E911 address at least one business day before moving equipment
- Inform all users of your VoIP service about E911 limitations
- Be prepared to provide your exact location when calling 9-1-1
- Consider maintaining alternative means of calling 9-1-1 (cell phone, traditional landline)
- Acknowledge annual E911 reminder notifications
E911 Liability Disclaimer
IMPORTANT: You acknowledge that VoIP E911 service is subject to limitations and may fail to function properly during emergencies. You accept full responsibility for ensuring you have alternative means of contacting emergency services.
We are not liable for any inability to access emergency services, including but not limited to situations where E911 service fails due to power outages, internet disruptions, incorrect address information, or any other cause.
6. Fees and Billing
Subscription Plans
- Services are provided on a subscription basis with monthly billing cycles
- Subscription fees are charged in advance at the beginning of each billing period
- Different plans include different features, usage limits, and pricing
- You may upgrade or downgrade your plan at any time
- Plan changes take effect at the start of the next billing cycle
Payment Terms
- Payment is due immediately upon subscription or renewal
- We accept credit cards and other payment methods as indicated on our website
- All payments are processed through Stripe, our secure payment processor
- You authorize us to charge your payment method for all applicable fees
- Failed payments may result in service suspension or termination
- You are responsible for any bank fees, chargeback fees, or insufficient fund fees
Taxes
- All prices are in Canadian Dollars (CAD)
- Prices do not include applicable taxes (GST/HST, PST)
- Taxes will be added to your invoice based on your province of service
- You are responsible for paying all applicable taxes
Usage-Based Charges
Additional charges may apply for:
- International calling (rates vary by destination)
- Premium telephone numbers (toll-free, premium rate numbers)
- Overage charges if you exceed your plan limits
- Additional phone number purchases
- Number porting fees
- TTS generation beyond plan limits
Automatic Renewal
- Subscriptions automatically renew at the end of each billing period
- Your payment method will be charged automatically unless you cancel
- You may cancel at any time to prevent future charges
- Cancellation must be completed before the renewal date to avoid being charged
Refund Policy
- Subscription fees are generally non-refundable
- We do not provide pro-rated refunds for partial months
- Refunds may be issued at our sole discretion in cases of service failure or billing errors
- To request a refund, contact our support team with details of your request
- Refund requests must be made within 30 days of the charge
7. Acceptable Use Policy
You agree to use our Services only for lawful purposes and in accordance with this Acceptable Use Policy. Violation may result in immediate termination of your account.
Prohibited Activities
You may NOT use our Services to:
Illegal Activities
- Violate any local, provincial, national, or international law
- Engage in fraudulent activities
- Facilitate illegal gambling or money laundering
- Distribute illegal content
Harassment & Abuse
- Harass, threaten, or intimidate others
- Make unsolicited telemarketing calls
- Send spam or junk messages
- Engage in hate speech or discriminatory communications
Security Violations
- Attempt to gain unauthorized access to our systems
- Distribute viruses, malware, or harmful code
- Conduct penetration testing without authorization
- Interfere with or disrupt our Services
Fraudulent Use
- Create fake or misleading caller ID information
- Impersonate others without authorization
- Engage in "spoofing" or identity theft
- Make fraudulent emergency calls
Network Abuse
- Engage in "traffic pumping" schemes
- Generate excessive traffic to degrade service
- Use automated dialing systems for mass calling
- Resell services without authorization
Content Restrictions
- Distribute child sexual abuse material
- Share revenge pornography or non-consensual intimate images
- Violate intellectual property rights
- Create defamatory or libelous content
Telemarketing and CASL Compliance
If you use our Services for commercial messaging or telemarketing:
- You must comply with Canada's Anti-Spam Legislation (CASL)
- You must comply with the National Do Not Call List (DNCL) rules
- You must obtain consent before sending commercial messages
- You must provide clear unsubscribe mechanisms
- You are solely responsible for compliance with all applicable laws
- We reserve the right to terminate accounts engaged in spam or illegal telemarketing
Enforcement
- We reserve the right to investigate suspected violations of this policy
- We may suspend or terminate accounts that violate this policy
- We may report illegal activity to law enforcement
- We may disclose your information to comply with legal requirements
- Violations may result in legal action and financial liability
8. Privacy and Data Protection
Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy.

- We comply with PIPEDA and applicable Canadian privacy laws
- We share information with service providers necessary to deliver Services
- We retain call detail records as required by CRTC regulations (minimum 2 years)
- We provide E911 information to emergency services when you dial 9-1-1
- We may disclose information when required by law or court order

Our Intellectual Property
- All content, features, and functionality of our Services are owned by Exodus Telecom
- This includes software, text, graphics, logos, icons, images, audio clips, and data compilations
- Our trademarks and service marks may not be used without prior written consent
- You may not copy, modify, distribute, or reverse engineer any part of our Services
- These Terms do not grant you any ownership rights to our intellectual property
Your Content
- You retain ownership of content you submit to our Services (text for TTS, voicemail recordings, etc.)
- You grant us a license to use your content solely to provide Services to you
- This license includes the right to process, store, and transmit your content
- You represent that you own or have rights to all content you submit
- You are responsible for ensuring your content doesn't violate third-party rights
Copyright Infringement
- We respect intellectual property rights and expect you to do the same
- If you believe your copyright has been infringed, contact us at: legal@exodustelecom.com
- We may terminate accounts of repeat copyright infringers
- False copyright claims may result in legal liability
10. Termination and Suspension
Your Right to Cancel
- You may cancel your subscription at any time through your account portal
- Cancellation takes effect at the end of your current billing period
- You will continue to have access to Services until the end of the paid period
- No refunds are provided for the remaining portion of your billing period
- You are responsible for backing up any data before cancellation
- Phone numbers may be released after cancellation and cannot be guaranteed for recovery
Our Right to Suspend or Terminate
We may suspend or terminate your account immediately without notice if:
- You violate these Terms or our Acceptable Use Policy
- Your payment method fails or you have unpaid charges
- You engage in fraudulent or illegal activities
- Your account is involved in abuse or security incidents
- We are required to do so by law or regulation
- We discontinue Services (with reasonable notice when possible)
Effects of Termination
- Upon termination, your access to Services will cease immediately
- You must pay all outstanding charges up to the termination date
- We may delete your data after termination (subject to legal retention requirements)
- Provisions that by their nature should survive termination will remain in effect
- You may lose your phone numbers upon termination
- Generated TTS files may be deleted after termination
11. Warranties and Disclaimers
DISCLAIMER OF WARRANTIES
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
- WARRANTIES OF NON-INFRINGEMENT
- WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE
- WARRANTIES THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
- WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF SERVICES
WE DO NOT WARRANT THAT:
- Our Services will meet your specific requirements
- Service will be available at all times or in all locations
- Defects will be corrected within any specific timeframe
- Files or data will not be lost or corrupted
- E911 service will function during emergencies
- TTS-generated audio will meet your quality expectations
YOU ACKNOWLEDGE THAT: Your use of Services is at your sole risk. You are responsible for maintaining backups of important data. You should have alternative means of communication for emergencies.
12. Limitation of Liability
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
EXODUS TELECOM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
- DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
- STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICES
- INABILITY TO ACCESS E911 SERVICES DURING EMERGENCIES
- SERVICE INTERRUPTIONS, OUTAGES, OR QUALITY DEGRADATION
- ERRORS, MISTAKES, OR INACCURACIES OF CONTENT
- PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR USE OF SERVICES
MAXIMUM LIABILITY:
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100 CAD), WHICHEVER IS GREATER.
These limitations apply whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damage.
Jurisdictional Note
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.
13. Dispute Resolution
Informal Resolution
Before initiating any formal legal proceedings, you agree to first contact us to attempt to resolve the dispute informally. We will make reasonable efforts to resolve disputes within 30 days.

Governing Law and Jurisdiction
- These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada
- Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario
- You consent to personal jurisdiction in Ontario courts
- The United Nations Convention on Contracts for the International Sale of Goods does not apply
Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in class action lawsuits against Exodus Telecom.
14. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Exodus Telecom regarding the Services.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or prominent notice on our website. Your continued use of Services after changes constitutes acceptance of the modified Terms.
Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
No Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Language
These Terms are provided in English. If translated into another language, the English version prevails in case of conflict.
